Príspevok analyzuje problematické právne aspekty vyplývajúce z deklaratórnych účinkov zápisu zníženia základného imania s.r.o. do obchodného registra. Podľa názoru autorov ide o dlhodobo pretrvávajúci legislatívny lapsus v Obchodnom zákonníku. Okrem návrhu de lege ferenda sa autori snažia nájsť praktické odporúčania pre konateľov pri riešení právnej dilemy, kedy je potrebné vyplatiť spoločníkom plnenie zo zníženia základného imania. The article analyses the problematic legal aspects arising out of declaratory effects of registration of the registered capital decrease in LLC with the Commercial Register. The authors consider this as a long-term legislative lapsus in the Commercial Code. In addition to de lege ferenda proposal the authors try to find the recommendations for executives dealing with legal dilemma when they shall provide the shareholders with payments out of the registered capital decrease.
