Cieľom článku je priblížiť čitateľovi inštitút neplatnosti spoločnosti a poukázať na vzniknutý právny problém v otázke aktívnej legitimácie na podanie návrhu na konanie o neplatnosť spoločnosti, spôsobený novelou Obchodného zákonníka. Author of the article analyses the impact of changes introduced by the amendment of the Commercial Code to the procedure for nullity of a company. The aim of the article is to introduce the reader to the institute of nullity of a company and to point out a legal problem in the issue of active legitimacy to file a motion for proceedings for the nullity of a company caused by the amendment of the Commercial Code.
