Anotace Článek se zabývá vztahem mezi povinností člena statutárního orgánu postupovat v rámci výkonu jeho funkce s péčí řádného hospodáře a možností člena statutárního orgánu vyžádat si pokyn týkající se obchodního vedení společnosti od valné hromady a dále možností takový pokyn nedodržet. Annotation The article outlines the basic issue between the duty of a member of the statutory body to proceed with managerial care in the performance of his/her office and the possibility of a member of the statutory body to request an instruction regarding the business management of the company from the general meeting and the possibility of not following such an instruction.
