Company Shares and Matrimonial Community Property on the Eve of Recodification. The draft of the new Civil Code introduces a specific regime governing a share in a company within the newly proposed system of matrimonial community property. Focusing on both the original and revised wording of Section 293(3) of the draft, this paper discusses the significant shift from the value of the share to the inclusion of the share itself in the spouses' common property, and assesses whether this change genuinely resolves the longstanding doctrinal and case-law tensions. The analysis demonstrates that the adoption of a unitary rule applicable to both partnerships and corporations, combined with the explicit exclusion of the other spouse's shareholder status, gives rise to conceptual and practical challenges. These include questions concerning the scope of required spousal consent, the exercise of corporate rights, and the options available in the judicial division of community property. Drawing on Slovak and Czech case law, as well as comparative insights from various legal systems, the article argues that the current draft unduly restricts party autonomy and weakens the non-shareholder spouse's protective position. The author therefore proposes legislative solutions that would allow either for joint ownership of a share or enable the other spouse to acquire shareholder status under defined conditions.
